Platform Terms of Service
These Terms govern your use of Idol (idol.ph), an influencer–brand marketplace operated by Kaizen Brands LLC. By creating an account or using the platform you agree to them.

About Idol & these Terms
1.1The marketplace
Idol (idol.ph) is an online marketplace operated by Kaizen Brands LLC that connects brands and businesses (“Brands”) with content creators, influencers, models, and other talent (“Creators”). Idol provides the marketplace, contracting tools, messaging, and escrow-facilitated payment processing through licensed third-party payment service providers (“PSPs”, currently Xendit and Stripe).
1.2Your agreement
By creating an account or using the platform you agree to these Terms. If you do not agree, do not use Idol.
1.3Marketplace intermediary
Idol is a marketplace intermediary, not the merchant of record. The Creator is the seller of their own services and is responsible for delivering them. Idol facilitates discovery, contracting, escrow, and payout.
Eligibility
2.1Age & capacity
You must be at least 18 years old and able to form a binding contract.
2.2Sanctions
You must not be located in, or a resident or national of, any jurisdiction subject to comprehensive sanctions, and you must not appear on any US, EU, UN, or UK sanctions or restricted-party list.
2.3Your compliance
You are responsible for compliance with the laws applicable to you, including tax obligations on amounts you earn.
Accounts & accurate information
3.1Accurate information
You must provide accurate, current, and complete information and keep it updated.
3.2Verification
You authorise Idol to verify your information and, where required, request identity and business-verification documents (see the Creator Agreement, §7).
3.3Account security
You are responsible for activity under your account and for safeguarding your credentials.

You agree not to:
- misrepresent your identity, services, audience, or follower metrics;
- transact off-platform to avoid fees, escrow, or these Terms;
- use the platform for any illegal purpose, including money laundering, terrorist financing, fraud, or sanctions evasion;
- list or sell prohibited items (incl. precious metals, gems, jewellery, regulated financial/DNFBP services, or any high-value physical goods Idol does not support);
- circumvent payout or verification controls.
Fees
5.1Commission
Idol charges a percentage commission on completed bookings, disclosed before a transaction is confirmed.
5.2Deduction
Commission is deducted from the booking amount at payout; the Creator receives the balance.
Payments, refunds & disputes
5A.1Who holds your funds
Idol (Kaizen Brands LLC) is the operator of the platform and the party you contract with for use of the marketplace. Idol does not hold or custody your money. All payments are processed, and booking funds are held in escrow, by licensed third-party payment service providers (“PSPs”, currently Xendit and Stripe). Idol instructs the release of escrowed funds in accordance with these Terms but does not control the underlying funds.
5A.2Refunds & cancellations
A Brand’s payment is held in escrow until the deliverable is confirmed or the review window lapses (see the Creator Agreement, §8). Before release, a Brand may cancel or request a refund through the platform where a Creator has not delivered the agreed service or where both parties agree to cancel; an approved refund is returned to the original payment method through the PSP, net of any non-refundable PSP fees. After release, refunds and reversals are handled through the dispute and recourse process (see the Creator Agreement, §10).
5A.3Disputes & complaints
To raise a dispute, refund request, or complaint, contact Idol at support@idol.ph. Idol will review in good faith and may hold the relevant escrowed funds pending resolution. Chargebacks and payment disputes are handled under the Creator Agreement, §10. This does not limit any right you may have to escalate to a competent authority under Philippine law.
Suspension & termination
6.1Remedies
Idol may suspend or terminate an account, withhold or reverse funds held in escrow, or refuse a payout where it reasonably suspects: fraud, money laundering or terrorist financing, sanctions exposure, breach of these Terms, non-delivery, or chargeback/dispute risk.
6.2Additional rights
These remedies are in addition to any other rights at law.
General
13Data privacy
Personal data is processed under the Privacy Policy in accordance with RA 10173 (Data Privacy Act). Verification documents are retained as required for AML/record-keeping and deleted thereafter per policy.
14Changes
Idol may update these Terms; material changes will be notified. Continued use constitutes acceptance.
15Liability
To the extent permitted by law, Idol’s aggregate liability is limited to the commission earned on the relevant transaction. Idol is not liable for the acts or omissions of Brands or Creators.
16Governing law & disputes
These Terms, and any dispute arising out of or relating to them or your use of the platform, are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law rules. The parties will first attempt to resolve any dispute in good faith. Any dispute that cannot be resolved this way will be submitted to the courts of Makati City, Metro Manila, without prejudice to any non-waivable right or venue a user is entitled to under Philippine law. Nothing in this section prevents Idol from seeking injunctive or equitable relief in any competent court to protect its rights or users.
17Acceptance
Creators and Brands accept these Terms by checking the acceptance box at signup; Idol records the version, timestamp, and user for each acceptance.
